You didn't even read it then. They weren't divided on it being a foul, they were divided on whether they would have recommended VAR to get involved because they can see a scenario where the ref would have interpreted it to be a yellow rather than a red.
Just to note that Arsenal Football Club explicitly agreed to this system including the independent panel because they didn't want PGMOL marking their own homework.

To the letter of the law, they are both reviewable offenses regardless of the ref seeing it, not seeing it, showing a yellow or letting play continue.
